Payment for the Goods is made in the national currency of Ukraine.
Payment for the Goods is made by the Buyer based on properly executed invoices and delivery notes from the Seller within 30 (thirty) calendar days from the date of receipt of the Goods.
In case of delay in budget financing, payment for the delivered Goods is made within 20 (twenty) banking days from the date of receipt of funds allocated for this purchase to the Buyer's account.
Budget obligations under the Contract arise for the Buyer only if it has the appropriate budget appropriations.
The Buyer has the right, at its sole discretion, to reduce the purchase volumes depending on actual needs and funding of its expenses. In this case, the Parties shall make appropriate amendments to this Contract.
The Buyer is not responsible for delays in the transfer of funds to the Seller if the relevant documents are submitted to the State Treasury Service in Odesa region on time.

The Seller shall deliver and transfer the Goods to the Buyer along with all documents necessary for the acceptance of the Goods under this Contract within 3 (three) working days from the receipt of the Buyer's order, but no later than 15.12.2026 on DDP terms (in accordance with the International Commercial Terms Incoterms, 2010 edition) at the destination: Odesa, 6 Artur Savelyev St. The right of ownership of the Goods passes at the moment of signing the delivery note by the Parties.
Acceptance of Goods by quantity and quality will be carried out by the Buyer in the presence of the Seller's representative immediately after the arrival of the Goods at the place of delivery.
Acceptance of Goods by quantity and quality is formalized by a delivery note (acceptance certificate), which must be drawn up on the day of acceptance of the Goods.
In case of established violations of the quality of the Goods or shortage of any quantity thereof, the Buyer, together with the Seller's representative, shall record this in the Goods acceptance certificate and, depending on the reasons for the defects, shall present a claim to the Party that has violated the Buyer's legal interests.
The Buyer may postpone the acceptance of Goods by quantity and quality until the Seller provides documents confirming the quantity and quality of the delivered Goods.
Acceptance of Goods by quantity and quality in all cases not regulated by this Contract shall be carried out in accordance with the requirements of the Instruction on the procedure for accepting industrial products and consumer goods by quantity (approved by Resolution of the State Arbitration Court under the Council of Ministers of the USSR No. P-6 dated 15.06.1965) and the Instruction on the procedure for accepting industrial products and consumer goods by quality (approved by Resolution of the State Arbitration Court under the Council of Ministers of the USSR No. P-7 dated 25.04.1966) with amendments and additions made thereto in accordance with the established procedure or other normative acts of Ukraine that will be adopted on this matter instead of the aforementioned.

The country of origin of the Goods cannot be the Russian Federation/Republic of Belarus/Islamic Republic of Iran.
