IV. PAYMENT PROCEDURE
4.1. Payments to the Supplier are made by non-cash transfer of funds to the Supplier's settlement account within 10 working days after the parties sign the delivery note.
4.2. Payments under this Agreement are made in accordance with subparagraph 2 of paragraph 19 of the Procedure for exercising powers by the State Treasury Service in an special regime under martial law, approved by the Resolution of the Cabinet of Ministers of Ukraine dated June 9, 2021 No. 590 (as amended) in the national currency of Ukraine, the hryvnia, in non-cash form by transferring the amounts due to the Supplier's current account indicated in this Agreement. The Customer makes payments within the received budget financing.
4.3. In case of delay in budget financing, payment for the delivered Goods is made within 5 (five) days from the date of receipt by the Customer of the budget allocation for financing the procurement to its registration account.
4.4. The Customer does not make payment for the delivered Goods, and such non-payment is not a violation of the payment deadline by the Customer in case of the Supplier's failure to provide the original delivery note for payment or its improper execution.
4.5. All payment documents under this Agreement are executed in compliance with all requirements of the current legislation of Ukraine, which are usually applied to the content and form of such documents.

V. DELIVERY OF GOODS
5.1. Place of delivery of goods: Ukraine, 1008, Vinnytsia region, Vinnytsia city, Soniachna str., 3.
5.2. Delivery period of Goods: 15.05.2026.
5.3. Delivery of Goods is carried out at the expense and by the forces of the Supplier within 5 (five) working days from the date of receipt of the order from the Customer. The delivery order is sent by the Customer via electronic communication by e-mail tender-vnau@ukr.net or by phone (063) 932 42 19.
5.4. The date of delivery of the Goods is considered the day of transfer of the Goods by the Supplier to the Customer according to the delivery note at the unloading point. The delivery note is drawn up in two copies by the Supplier for each party, with the mandatory indication of the information about the person who accepted the goods.
5.5. The Goods must be packed by the Supplier in packaging that corresponds to the nature of the Goods of this type, in such a way as to ensure its preservation from damage or destruction, atmospheric precipitation during transportation, storage, and loading/unloading operations during delivery. The Supplier bears the risk of damage or destruction of the Goods until its delivery to the Customer.
5.8. The Supplier undertakes to provide, simultaneously with the delivery of each batch of Goods, properly executed acceptance and transfer act and documents confirming the quality, origin, and quantity of the Goods.
5.9. The date of delivery of the Goods is the date when the Goods were transferred to the ownership of the Customer at the place of delivery from the moment and based on the delivery note of the Goods signed by the Parties. The Goods are considered transferred to the Customer in quantity and quality at the place of delivery from the moment and based on the delivery note of the Goods signed by the Parties.
5.10. The Supplier's obligations for the delivery of Goods are considered fulfilled in full from the moment of transfer of Goods of proper quality to the ownership of the Customer at the place of delivery from the moment and based on the delivery note of the Goods signed by the Parties.
5.11. Ownership of the Goods passes from the Supplier to the Customer from the moment of signing the delivery note of the Goods by the Parties and the transfer of the Goods to the Customer at the place of delivery.
