Contract conclusion (1) The successful bidder must conclude the contract within 10 days from the date of the successful bid decision. (2) If the contract is not concluded within this period, the successful bidder shall lose the right to the successful bid, and the bid bond shall belong to Sumita Town. (3) The contract amount shall be the total cost of the purchase. Article 2: The Contractor shall deliver the Contract Goods to the delivery location by the delivery deadline. Ownership of the Contract Goods shall transfer from the Contractor to the Ordering Party upon passing the inspection in paragraph 1. Any damages incurred or expenses necessary for the inspection prior to the transfer shall be borne by the Contractor. Article 3: If the Contract Goods are found to be defective upon inspection, the Contractor shall retrieve them and deliver replacements. The delivery deadline in this case shall be as stated in item 5, unless otherwise instructed by the Ordering Party, and the inspection shall be conducted as stipulated in the preceding article. Article 4: After the delivery is completed, the Ordering Party shall pay the price within 30 days from the date of receipt of a valid payment request form from the Contractor. Article 5: If the Ordering Party delays payment of the price stipulated in the preceding article due to reasons attributable to the Ordering Party, the Ordering Party shall pay delayed interest to the Contractor, calculated at the rate of delayed interest for government contracts based on Article 8, Paragraph 1 of the Act on Prevention of Payment Delays for Government Contracts (Act No. 256 of 1949) (Ministry of Finance Notification No. 991 of 1949; hereinafter referred to as the "Delayed Interest Rate"), based on the amount of payment delayed. Article 6: If the Contractor fails to deliver by the delivery deadline (including delivery of replacement goods stipulated in Article 3) due to reasons attributable to the Contractor, the Contractor shall pay a penalty to the Ordering Party, calculated at the Delayed Interest Rate, on the amount remaining after deducting the value of the completed or delivered portion from the contract amount, based on the number of days of delay. Article 7: The Contractor shall be responsible for repairing any hidden defects in the Contract Goods for one year after delivery. Article 8: The Contractor or the Ordering Party may consult with the other party to modify this contract if necessary before the delivery of the Contract Goods is completed. Article 9: The Ordering Party may terminate this contract in whole or in part if the Contractor falls under any of the following items. (1) If the Contractor fails to perform the contract within the deadline or is deemed unlikely to perform it. (2) If the Contractor requests termination of the contract. (3) If the Contractor commits fraudulent acts in the performance of the contract. (4) If the Contractor or its agent violates this contract. (5) If fraud was committed in concluding this contract, or if it is revealed that there was collusion to harm fair prices or obtain unjust profits. (6) If the Contractor falls under any of the following: (a) If it is recognized that an officer, etc. (if the contractor is an individual, that person; if the contractor is a corporation, its officers or the representative of its branch or office with the authority to conclude contracts for the supply of goods or the purchase of goods; hereinafter the same) is a member of a violent group (a member of a violent group as defined in Article 2, Item 6 of the Act on Prevention of Unfair Acts by Members of Violent Groups, etc. (Act No. 77 of 1991; hereinafter referred to as the "Violent Group Countermeasures Act"); hereinafter the same). (b) If it is recognized that a violent group (a violent group as defined in Article 2, Item 2 of the Violent Group Countermeasures Act; hereinafter the same) or a member of a violent group is substantially involved in management. If the contract is terminated pursuant to the provisions of the preceding paragraph, the Contractor shall pay to the Ordering Party an amount equivalent to 5/100 of the sale price as damages. Article 10: If the Contractor is subjected to unjust demands by a violent group or its members, or obstruction to the proper performance of the contract during the performance of this contract, the Contractor shall report to the Ordering Party and notify the police. Article 11: The Contractor shall not assign or transfer its rights or obligations arising from this contract to a third party, or pledge such rights as collateral. However, this shall not apply if the prior consent of the Ordering Party is obtained. Article 12: If circumstances arise that make it difficult to comply with this contract, or if any doubt arises regarding this contract, both parties shall consult.
