Description

The International Finance Corporation (IFC), a member of the World Bank Group, is in discussions with Électricité du Cambodge (EDC), the state-owned utility of the Royal Government of Cambodia, to provide transaction advisory services on the development of a Public-Private Partnership (PPP) to attract private sector participation in the financing, development, construction, operation, and maintenance of a grid-connected 100 MW solar photovoltaic (PV) plant with an associated battery energy storage system (BESS) in Kampong Chhnang Province. To deliver this mandate, the advisory engagement will be implemented in two phases: (i) Phase 1: Due Diligence and Transaction Advisory; and (ii) Phase 2: Tender Implementation. IFC’s scope of services includes undertaking technical, commercial, legal, and regulatory due diligence; advising on a bankable transaction structure; preparing transaction and bidding documentation; marketing the project to prospective developers and investors; supporting the competitive tender process for the selection of a private partner; and assisting EDC through to the execution of the project agreements. To support these activities, IFC intends to engage a Legal and Regulatory Consultant to provide expertise across all legal and regulatory aspects of the assignment, , including assessment of the legal, regulatory, licensing, land, and permitting framework applicable to solar PV and BESS projects, identification and mitigation of project risks, development of a bankable contractual and regulatory structure, preparation of transaction and bidding documentation, support on risk allocation and contractual negotiations, and advice throughout the competitive tender process through contract execution. IFC will separately retain a Technical Consultant and an Environmental & Social Consultant to support the delivery of the mandate. Qualified firms are invited to submit their Expression of Interest. A detailed Terms of Reference will be provided to shortlisted firms at the Request for Proposals stage.
