The scope of the order also includes the delivery of a complete set of materials and documents along with the transfer of copyrights in accordance with the attached agreement (license), intended for the Licensee to carry out a comprehensive service in the area of analyzing the potential use of artificial intelligence (AI) in processes and functional areas of SMEs, culminating in the development of implementation recommendations and the implementation of the selected AI solution. Supplementary orders: IN CASE OF DISCREPANCIES BETWEEN THE CONTENT OF THE ORDER NOTICE AND THE CONTENT OF THE REQUEST FOR QUOTATION (WHICH IS AN ATTACHMENT TO THE ORDER NOTICE), THE CONTENT OF THE REQUEST FOR QUOTATION IS BINDING. Conditions for amending the agreement: => The Ordering Party reserves the right to make significant changes to the provisions of the concluded agreement in relation to the content of the offer, on the basis of which the Contractor was selected, in the following scope and situations: => changes in the provisions of European Union law or national law, affecting the performance of the Agreement (in particular, changes in VAT rates); => changes in the Agreement execution deadline (both extension and shortening): a) in the event of changes in the Ordering Party's project, including in particular changes concerning task execution deadlines or changes requiring the approval of the Intermediate Institution (IP), or b) as a result of force majeure, along with all consequences arising from the extension of this deadline, or c) for other reasons justified by circumstances beyond the Contractor's control or resulting from the Ordering Party's justified needs; => changes in the subject of delivery in case of unavailability of the ordered subject of delivery, resulting from reasons beyond the Contractor's control (e.g., in the event of withdrawal from the market by the manufacturer or termination of production of the subject of delivery offered by the contractor), provided that the same or higher quality parameters as the originally ordered device are guaranteed. The price of the substitute cannot be higher than the price of the ordered device; => change in payment terms for the Contractor; => in the event of discrepancies or ambiguities in the interpretation of terms used in the Agreement, which cannot be resolved otherwise, and the change will enable the resolution of discrepancies and clarification of the agreement to ensure unambiguous interpretation of its provisions by the Parties; => changes mentioned in section 3.2.4 point 4 of the Guidelines on eligibility of expenditure for 2021-2027. => The Ordering Party also anticipates the possibility of making minor changes to the provisions of the concluded agreement in relation to the content of the offer, on the basis of which the Contractor was selected. => Changes to the agreement will be introduced in the form of an annex signed by both parties, and the possibility of their introduction depends on the approval of the Ordering Party.
