Supply of raw materials necessary for research and development work. The order is divided into 15 parts according to the division presented in attachment no. 1 "Offer Form". The Ordering Party allows for submitting partial bids. The Ordering Party will select the most advantageous offer for each of the 15 parts separately. The subject of the order includes the delivery of raw materials to the place of order execution (transport costs must be included in the price). The order (for each part) should be completed no later than within 7 months from the date of awarding the order (signing the contract or placing an order with the selected offeror). The Ordering Party allows for delivery in batches. The order fulfillment deadline may change in the event of circumstances indicated in the "Contract amendment conditions" section. Contract amendment conditions: The Ordering Party foresees the possibility of making significant changes to the contract for the order on the following conditions: a. postponement of the deadline for the execution of the subject of the order, including the consequences of such a change, if, for reasons that could not have been foreseen at the time of concluding the contract for the order, it is impossible to meet the original deadline for the execution of the subject of the order; b. postponement of the deadline for the execution of the subject of the order for reasons attributable to the Ordering Party, including the consequences of such a change; c. when unforeseen circumstances arise, i.e., circumstances that could not have been foreseen with due diligence, changes will be necessary because without them the performance within the scope of the subject of the order cannot be fulfilled, or the goal for which it was to be performed cannot be achieved; in such a case, the Ordering Party and the contractor may determine a modified way of achieving the result that is the subject of a given performance; d. in a situation where the result that is the subject of a given performance within the scope of the subject of the order can be performed faster, more efficiently, with less effort and resources, or using solutions more favorable to the Ordering Party from the perspective of the cost of performing the subject of the order, operating costs, reliability during operation, or development possibilities; in such a case, the Ordering Party and the contractor may determine a modified way of achieving the result that is the subject of a given performance; e. reduction of the scope of supplies/works covered by this request for quotation. In such a case, the contractor's remuneration will be reduced accordingly based on a reliable valuation of the omitted works/supplies prepared by the Contractor and accepted by the Ordering Party. The total value of changes cannot exceed 10% of the order value originally specified in the contract; f. execution of additional supplies/works that were not included in the request for quotation. In such a case, the contractor's remuneration will be increased accordingly based on a reliable valuation of additional supplies/works prepared by the Contractor and accepted by the Ordering Party. The total value of changes cannot exceed 10% of the order value originally specified in the contract; g. execution of substitute supplies/works, i.e., performed differently than described in the request for quotation, using a different technology or other materials, equipment with the same function, but under more favorable operating conditions (e.g., lower energy consumption). In such a case, the contractor's remuneration may be reduced or increased based on a reliable comparative valuation of the original and substitute supplies/works prepared by the Contractor and accepted by the Ordering Party. The total value of changes cannot exceed 10% of the order value originally specified in the contract; h. introduction or change of legal regulations or regulations regarding the principles of project co-financing from EU funds, introduced after the date of concluding the contract for the order; in such a case, the Ordering Party and the contractor may determine a modified way of achieving the result that is the subject of a given performance within the scope of the subject of the order in order to adapt it to the changed legal status; i. occurrence, after the conclusion of the contract for the order, of a force majeure event, which, for the purposes of this condition, is understood as an event external to the legal relationship between the Ordering Party and the contractor: - independent of them, - which they could not foresee before concluding the contract for the order, - which could not be avoided or prevented with due diligence, - which cannot be attributed to the Ordering Party or the contractor. Force majeure shall be considered, in particular: floods, fires and other natural disasters, riots, strikes, terrorist attacks, acts of war, sudden changes in weather conditions, epidemics, sudden power outages, radiation or contamination. In such a case, the deadline for the execution of the subject of the order may be extended by the duration of the force majeure event and the duration of its consequences. In such a case, the Ordering Party and the contractor may also determine a modified way of achieving the result that is the subject of a given performance within the scope of the subject of the order in order to adapt it to the consequences of the force majeure event. The Ordering Party also foresees the possibility of making changes to the contract for the order in cases permitted in accordance with the Guidelines on eligibility of expenditure for 2021-2027. The indicated changes will be made at the request of the Ordering Party or the contractor, with the consent of both parties, in the form of an annex to the contract, drawn up in writing under pain of nullity.
