Eco-loan with bonus - Circular Economy

1. The subject of the Order is the selection of a Contractor (also referred to as "Financial Intermediary" or "FI") who will provide the service commissioned by the Contracting Authority for the establishment and management of a Special Fund, to which the Contracting Authority will contribute Direct Financial Contribution from the funds of the Project "Regional Financial Institution - KPFR IF 2021-2027" and National Contribution, from which Loans will be granted to reduce resource consumption and waste generation in enterprises in the Kuyavian-Pomeranian Voivodeship with the possibility of partial write-off and which will be repayable to the Contracting Authority under the conditions specified in the "Essential Provisions of the Operational Agreement" (hereinafter: EPA). The parameters of the Loans granted by the Contractor are specified in the "Financial Instrument Matrix - Eco-loan with bonus for enterprises - transformation towards Circular Economy" which is Annex No. 2 to the "EPA". 2. The National Contribution will be paid by the Contracting Authority under Agreement No. ZW-I.273.8.2024 on entrusting a public task concluded on 31.01.2024 by the Contracting Authority with the institution managing these funds – Kuyavian-Pomeranian Voivodeship. Funds intended for the National Contribution in this procedure will be used within the framework of the Investment Strategy for the reuse of financial resources returned from financial instruments and repayable aid under the Regional Operational Programme of the Kuyavian-Pomeranian Voivodeship for the years 2014-2020. 3. The service that is the subject of this Order may be provided in relation to projects specified in the "Financial Instrument Matrix – Eco-loan with bonus for enterprises - transformation towards Circular Economy", implemented by Final Recipients exclusively within the Kuyavian-Pomeranian Voivodeship. 4. The Contractor will provide services for the establishment and management of the Special Fund, consisting in granting financial support in the total amount of PLN 24,705,367.18 from the financial contribution made from the Trust Fund by the Contracting Authority to the Special Fund established by the Financial Intermediary. Of this amount, PLN 20,628,251.43 will come from the Direct financial contribution, and the remaining amount of PLN 4,077,115.75 from the National Contribution. 5. As part of the Order implementation, the Contractor is obliged to achieve the following indicators: 1) Enterprises covered by support (including: micro, small, medium, large) – at least 26 enterprises. The indicator must be achieved no later than 31.12.2029. 2) Enterprises covered by support in the form of grants – at least 26 enterprises. The indicator must be achieved no later than 31.12.2029. 3) Enterprises covered by support from financial instruments – at least 26 enterprises. The indicator must be achieved no later than 31.12.2029. 6. Pursuant to Art. 95 sec. 1 of the Public Procurement Law, the Contracting Authority obliges the Financial Intermediary to employ, under an employment relationship, persons who will perform activities within the scope of this Order related to: 1) analysis of loan applications, 2) settlement and control of loans, 3) monitoring and recovery of loan repayments, 4) preparation of reports on the Order implementation – if the performance of these activities involves work within the meaning of Art. 22 § 1 of the Act of 26 June 1974 – Labour Code (Journal of Laws 2025, item 277, as amended). The Contracting Authority allows employment under a fixed-term or indefinite employment contract, or for substitution, under the terms and conditions specified in the Labour Code, on a full-time or part-time basis. In order to verify the obligation to employ under an employment relationship, at the request of the Contracting Authority at the time specified in that request – but no shorter than 10 days – the Financial Intermediary undertakes to submit to the Contracting Authority, including for the purpose of transfer to the Managing Institution of FEdKP, a declaration of the Financial Intermediary on employing persons under an employment contract...
