Installation for electricity generation from a set of solar panels with a maximum capacity of up to 650 kWp on the premises of the Nata Minerale Sp. z o.o. production plant in Borkowo, Żukowo municipality. The order is implemented within the project entitled “Improvement of energy efficiency through modernization of the machine park involved in the production of water and beverages in PET packaging at Nata Minerale Sp. z o.o.”, Action 3.01 of the European Funds for Modern Economy 2021-2027 program - Ecological Credit - co-financed by the European Regional Development Fund. Technical parameters – Annex No. 7 to the request for quotation.
Conditions for amending the contract: 1. The Ordering Party anticipates the possibility of amending the provisions of the concluded contract in relation to the content of the offer based on which the Contractor was selected, in the event of the occurrence of at least one of the circumstances listed below, taking into account the conditions for their introduction, i.e.: a) changes concern the implementation of additional supplies from the current contractor not covered by the basic order, provided that they have become necessary and the following conditions are met jointly: - the change of contractor cannot be made for economic or technical reasons, in particular concerning the interchangeability or interoperability of equipment, services or installations ordered under the basic order, - the change of contractor would cause significant inconvenience or a significant increase in costs for the Ordering Party, - the value of each subsequent change does not exceed 10% of the value of the order specified in the contract, b) the change does not lead to a change in the nature of the contract and the following conditions are met jointly: - the necessity of changing the contract is caused by circumstances that the Ordering Party, acting with due diligence, could not have foreseen, - the value of the change does not exceed 10% of the value of the order specified in the contract, c) the contractor to whom the Ordering Party awarded the contract is to be replaced by a new contractor as a result of succession, taking over the rights and obligations of the contractor, as a result of the acquisition, merger, division, transformation, bankruptcy, restructuring, inheritance or acquisition of the current contractor or its enterprise, provided that the new contractor meets the conditions for participation in the proceedings and it does not entail other significant changes to the contract, and is not intended to avoid the application of the principle of competition, d) the change does not lead to a change in the general nature of the contract and the total value of the changes is less than 10% of the value of the order specified in the contract, e) change in the method of settling the contract, making payments or the need to change the execution deadline for each of the Parties, at their justified request, f) occurrence of force majeure. 2. Furthermore, the Ordering Party allows for significant changes to the contract provisions in the following cases and scope: a) method of performing the subject of the contract as a result of circumstances that the Ordering Party and the Contractor could not foresee, despite exercising due diligence, b) remuneration in case of changes in tax regulations, in particular changes in the VAT rate, c) changes in generally applicable legal provisions affecting the performance of the contract, d) changes in the terms of payment of the Contractor's remuneration, when the necessity of introducing changes will be a consequence of the provisions of other agreements related to the contract for this procedure and the necessity of introducing changes results from circumstances that could not have been foreseen at the time of concluding the contract, e) other changes as a result of circumstances that the Parties could not foresee at the time of concluding the contract, in particular changes in the parameters of the Equipment or the method of performing the subject of the Agreement in the case of: - the possibility of using newer technological or technical solutions that are more favorable to the Ordering Party than those existing at the time of signing the Agreement; - the need to change delivery locations and services under quality guarantees as a result of organizational changes and/or changes in the Ordering Party's addresses; f) change in the execution period of the subject of the contract, change in the scope of the subject of the contract within the entire project resulting from the Ordering Party's needs, in case of acceptance by the Institution being a party to the Grant Agreement of changes in the Grant Application. In a situation where a Party initiates a contract amendment, it presents a contract amendment request with justification to the other Party. The Parties will assess the possibility and admissibility of amending the Contract each time in terms of compliance with applicable legal provisions and the principles of spending funds from funds under Action 3.01 of the European Funds for Modern Economy 2021-2027 program - Ecological Credit - co-financed by the European Regional Development Fund. 3. Amendments to the contract require a written annex for their validity, under penalty of nullity.
