1. Items for Competitive Tender
(1) Procurement Name and Quantity: Saga Prefecture Financial Management System Improvement (Java Update Support) Service Contract, 1 lot
(2) Contract Specifications, etc.: As per the specifications document
(3) Place of Performance: Designated locations by the Director of Administrative Digital Promotion Division, General Affairs Department, Saga Prefecture, and locations approved upon application by the contractor
(4) Period of Performance: From the date of contract to March 31, Reiwa 10
2. Matters Related to Tender Participation Qualifications and Conditions
(1) This procurement will be a conditional general competitive tender by a single enterprise or a joint venture.
(2) The qualifications for participating in the tender shall be met by all of the following requirements for a single enterprise, and all of the following requirements for a joint venture. In addition, inquiries may be made to the Saga Prefectural Police Headquarters for confirmation of qualification requirements.
a. Qualifications for a single enterprise
(a) The applicant must not fall under the provisions of Article 167-4 of the Local Autonomy Act Enforcement Order (Cabinet Order No. 16 of 1947).
(b) The applicant must not be a company for which commencement of rehabilitation proceedings has been filed under the Corporate Reorganization Act (Act No. 154 of 2002).
(c) The applicant must not be a company for which commencement of rehabilitation proceedings has been filed under the Civil Rehabilitation Act (Act No. 225 of 1999).
(d) The applicant must not have had two or more dishonored checks or bills at a financial institution, etc., during the period from six months prior to the bid opening date to the bid opening date.
(e) The applicant must not be subject to a suspension of designation or a suspension of tender participation qualification measures for contracts ordered by Saga Prefecture, or fall under the measures for temporary suspension of tender participation for contracts for construction and services ordered by Saga Prefecture.
(f) The applicant, its officers, etc., must not fall under any of the following, and persons listed in b through g below must not be substantially involved in its management.
a. Yakuza (Bōryokudan) (meaning the Bōryokudan as defined in Article 2, Item 2 of the Act on Prevention of Unjust Acts by Bōryokudan Members, etc. (Act No. 77 of 1991). The same applies hereinafter.)
b. Bōryokudan member (meaning a Bōryokudan member as defined in Article 2, Item 6 of the Act on Prevention of Unjust Acts by Bōryokudan Members, etc. The same applies hereinafter.)
c. A person who has not been a Bōryokudan member for less than five years.
d. A person who uses Bōryokudan or Bōryokudan members for the purpose of obtaining unjust profits for themselves, their company, or a third party, or for the purpose of causing damage to a third party.
e. A person who directly or actively cooperates with or is involved in the maintenance and operation of Bōryokudan by providing funds or benefits to Bōryokudan or Bōryokudan members.
f. A person who has a socially reprehensible relationship with Bōryokudan or Bōryokudan members.
g. A person who uses Bōryokudan or Bōryokudan members while knowing that they are Bōryokudan or Bōryokudan members.
(g) The applicant must possess ISMS, ISO27001 certification, or P mark certification.
(h) The applicant must have experience in detailed design, development, and construction of financial systems for organizations of a scale equivalent to or larger than Saga Prefecture (approximately 5,000 users, including public offices and private companies) (including work performed as a contractor and currently under contract).
(i) The applicant must not be a member of a joint venture.
b. Qualifications for a joint venture
(a) An agreement must be concluded by all members, stipulating the following matters:
a. Purpose
b. Name of the enterprise
c. Address and name of each member
d. Name of the representative
e. Authority of the representative
f. Proportion of capital contribution of each member
g. Responsibility of each member
h. Financial institution for transactions
i. Settlement of accounts
j. Ratio of profit distribution
k. Ratio of loss sharing
l. Measures for withdrawal of a member during performance of work
m. Measures for bankruptcy or dissolution of a member during performance of work
n. Liability for defects after dissolution and other necessary matters
(b) The number of members in a joint venture shall be no more than three companies.
(c) The representative member of the joint venture shall be the member with the largest capital contribution ratio.
(d) All members shall have a capital contribution ratio of 6/10 or more of the equal division based on the number of members.
(e) Any one of the members must meet the requirements of (h) in section a.
(f) All members must meet the requirements of (a) through (f) in section a.
(g) All members must not be members of other joint ventures.

(2) Method and Period for Distribution of Tender Explanation and Attached Documents
From Tuesday, July 28, Reiwa 8 to Thursday, August 27, Reiwa 8. The documents will be posted on the Saga Prefecture website (https://www.pref.saga.lg.jp/) and will be distributed at the department in (1) above at any time (excluding Saturdays, Sundays, and national holidays as defined by the Act on National Holidays (Act No. 178 of 1948)).
(3) Confirmation of Competitive Tender Participation Qualifications
a. Applicants wishing to participate in the tender (hereinafter referred to as "Tender Participants") must submit the Tender Participation Qualification Confirmation Application Form, company profile documents (brochures, etc.), a pledge stating that the requirements of 2.(2)a.(f) are met, and a performance record statement, along with documents proving possession of ISMS, ISO27001, or P mark certification, to the department in (1) by the submission deadline below. The application must be mailed or submitted in person.
b. Submission Deadline: 5:00 PM on Thursday, August 27, Reiwa 8. (If submitting by mail, it must arrive by the deadline via registered mail.)
Failure to submit by the deadline or being deemed not to have competitive tender participation qualifications will result in disqualification from bidding.
c. The results of the confirmation of competitive tender participation qualifications will be notified by Thursday, September 3, Reiwa 8.
(4) Loss of Tender Participant Qualification
A tender participant shall lose their qualification if they fall under any of the following circumstances by the date and time of the tender.
a. If provisional seizure, provisional disposition, auction, bankruptcy, commencement of rehabilitation proceedings, commencement of special liquidation, or commencement of rehabilitation proceedings is filed against the tender participant.
b. If there is a suspension of transactions by the electronic exchange or suspension of transactions from major business partners, and it is expected that the tender participant's business operations will be difficult.
c. If it is found that the applicant or its officers fall under any of the items in 2.(2)a.(f), or if it is found that persons listed in b through g of 2.(2)a.(f) are substantially involved in its management.
d. If the applicant has been subject to a suspension of designation for contracts ordered by Saga Prefecture.
e. Other circumstances that make it difficult to commence or proceed with the commissioned work.
5. Tender and Bid Opening Date and Time, and Location
a. Date and Time: Friday, September 11, Reiwa 8, 10:00 AM

In case of changes, tender participants will be notified separately.
6. Method of Bid Submission
Submit directly in person to the location in (5) or mail to the department in (1). If submitting by mail, it must be registered mail and must arrive by 5:00 PM on Thursday, September 10, Reiwa 8. Also, the envelope must be marked in red with "Tender for Saga Prefecture Financial Management System Improvement (Java Update Support) Service Contract". Bids arriving after the deadline will be invalid and will not be opened.
7. Matters Related to Bid Opening
Bid opening will be conducted with the presence of the bidder or their representative. If the bidder or their representative is not present, it will be conducted with the presence of an official not involved in the tender procedures.
8. Bid Security
a. Bid Security: A bid security equivalent to 5/100 or more of the estimated amount (including consumption tax and local consumption tax) must be submitted by the bid submission deadline, in accordance with Article 103, Paragraph 1 of the Saga Prefecture Financial Regulations (Reiwa 4 Saga Prefecture Ordinance No. 35; hereinafter referred to as "the Regulations"). However, the entire bid security may be waived or reduced in the following cases:
(a) When a bid security insurance contract (5/100 or more of the estimated amount) with Saga Prefecture as the insured is concluded and the certificate is submitted.
(b) When the applicant has a track record of properly fulfilling contracts of the same type and scale as the contract in question, concluded with the national government or local public entities, etc., within the past two years, and it is recognized that there is no risk of the applicant failing to conclude the contract.
Those wishing to request a waiver must submit a performance record certificate along with the tender participation qualification confirmation application.
b. In lieu of submitting bid security, collateral with the value listed in the following (a) through (f) may be provided in accordance with Article 104, Paragraph 1 of the Regulations.
(a) National or local government bonds: Face value (or estimated market value for discount bonds)
(b) Bonds guaranteed by the Japanese government or reliable corporate bonds: Face value or registered amount (or issue price if different from face value or registered amount), converted to 8/10 of the face value or registered amount.
(c) Checks issued or guaranteed by a bank or a reliable financial institution (limited to those participating in the electronic exchange): Face value.
(d) Bills accepted or guaranteed or endorsed by a bank or a reliable financial institution: Face value (if the maturity date of the bill is after one month from the date of submission, the amount obtained by discounting the face value at the general financial market discount rate from the day after the date of submission to the maturity date).
(e) Claims on time deposits with a bank or a reliable financial institution: Amount stated on the certificate of claim.
(f) Guarantee from a bank or a reliable financial institution: Amount guaranteed.
9. Place to View Contract Terms
Same as (1) above.
10. Matters Related to Bidding Method
a. Bids must be submitted by the bidder in person or by their agent. However, if an agent submits the bid, a power of attorney form separately prescribed must be submitted prior to bidding.
b. For the determination of the successful bidder, the successful bid price will be the amount obtained by multiplying the bid price stated in the bid by 110/100 (rounded down to the nearest yen if there are fractions of a yen). Therefore, bidders shall state in their bid the amount obtained by multiplying their estimated contract amount by 100/110, regardless of whether they are taxable or tax-exempt businesses for consumption tax and local consumption tax.
c. The amount written on the bid form shall be in Arabic numerals, preceded by "金" (kin) and followed by "円" (en), or preceded by the symbol "¥" and followed by the symbol "-".
11. Method of Determining the Successful Bidder
a. The successful bidder will be the one who submitted a valid bid and made the lowest bid within the limit of the planned price.
b. If there are two or more bidders who submitted the same lowest bid price, lots will be drawn immediately to determine the successful bidder. In this case, if any of these bidders are absent or refuse to draw lots, an official not involved in the tender execution procedures will draw lots on their behalf.
c. If there is no successful bidder after the first bid opening (i.e., no bids within the limit of the planned price), a second bid will be held immediately. However, if a bidder who submitted their bid by mail is not present at the bid opening, the second bid will be held at a later date.
d. Bidding will be limited to three times. If there is no successful bidder, negotiations may be held with the bidder who submitted the lowest valid bid in the final round of bidding, in accordance with the provisions of Article 167-2, Paragraph 1, Item 8 of the Local Autonomy Act Enforcement Order.
e. If it is determined that the successful bidder may not be able to perform the contract in accordance with its content due to their bid price, or if it is determined to be significantly inappropriate due to the risk of disrupting fair trade order by concluding a contract with them, the bidder may not be selected as the successful bidder after investigation. In this investigation, documents such as the breakdown of estimates will be requested.
12. Invalid Bids
Bids submitted by any of the following shall be invalid. Furthermore, invalid bidders cannot participate in subsequent bids.
a. A person who does not have the qualifications to participate in the tender.
b. A person who has made false declarations in the tender participation qualification confirmation.
c. A person who has committed fraudulent acts in the tender.
d. A bid form with omissions or illegible entries in the amount or name.
e. A bid form with entries made in a way that can be easily erased.
f. A bid form that does not meet the requirements of (c) in item 10 regarding the entry of the bid price.
g. A bid form with a corrected amount.
h. A bid form with unclear intent due to typos or omissions.
i. A bid form that can be revoked under Article 95 (Mistake) of the Civil Code (Act No. 89 of 1896).
j. A person who submitted two or more bids.
k. An agent who does not have the necessary qualifications.
l. In addition to the above, any person who violates the conditions of the tender.
13. Withdrawal of Bids, etc.
Bidders cannot withdraw, alter, or exchange their submitted bids.
14. Suspension of Bidding or Bid Opening
If bidding or bid opening cannot be conducted due to natural disasters or other unavoidable reasons, it will be suspended. Any damages incurred in such cases shall be borne by the tender participants and bidders.
15. Withdrawal from Bidding
Tender participants may withdraw from bidding at any time before the submission of their bid forms. If withdrawing, a bid withdrawal form separately prescribed must be submitted promptly. Withdrawal from bidding will not result in any disadvantageous treatment in subsequent procedures.
