Commercial advisory and coordination services for the Kvanttinova project PROCUREMENT OBJECTIVE The subject of the procurement are commercial and contractual advisory services for a large ongoing construction project, other support and coordination for the project, and participation in VTT's internal steering and technical meetings and contractor-led project steering and technical meetings. The service requires detailed knowledge of the project's history, decisions made, negotiations with the contractor, contractual arrangements, subletting relationships, and the current status of the project. DIRECT PROCUREMENT Applicable legal basis: Procurement Act (1397/2016) Section 40, Paragraph 2, Item 2 The procurement procedure is direct procurement in accordance with the Act on Public Procurement and Concession Contracts (the "Procurement Act", 1397/2016). According to Section 40, Paragraph 2, Item 2 of the Procurement Act, the contracting authority may choose direct procurement if, for technical reasons or reasons related to the protection of exclusive rights, only a specific supplier can carry out the procurement; an additional condition is that there are no reasonable alternative or substitute solutions and the lack of competition is not due to an artificial restriction of the procurement conditions. This is a project whose development was initiated in the autumn of 2023 with the aim of creating a microelectronics research and piloting ecosystem with multiple actors. The nature of the project from the perspective of procurement legislation has changed during the summer of 2026. The project was intended to be implemented as an indivisible mixed contract that does not fall under the scope of the Procurement Act in any part. Due to an unexpected change independent of VTT, the situation of the already ongoing project has changed. For technical reasons, only a specific supplier can carry out the procurement. There are no reasonable alternative or substitute solutions, and the lack of competition is not due to an artificial restriction of the procurement conditions. Due to the situation described above, there is only one party with whom the implementation of the negotiated contractual arrangement is possible within the schedule. The technical ground is met because the planning and implementation of the project have progressed exceptionally far and form a technically, commercially, and operationally coherent entity. The supplier has been responsible for the project management and expert tasks of the project throughout the preparation and implementation of the project. Changing the implementer would pose a significant risk to the technical continuity, compatibility, and schedule realization of the project, which is why competitive tendering for the procurement is not technically possible at this stage. Effective provision of the service requires detailed knowledge of the project's history, decisions made, negotiations with the contractor, contractual arrangements, subletting relationships, and the current status of the project. Changing the service provider at this stage would cause a significant need for familiarization and information transfer, as well as a risk to the weakening of the commercial, contractual, and technical continuity of the project. Direct procurement is proposed because the supplier has accumulated specific project-related knowledge and an overall picture during the project, which cannot be transferred to another service provider without significant additional work, costs, and delay risk. In particular, commercial and contractual negotiations with the contractor and tasks related to the project's space rental require in-depth knowledge of the project's previous solutions and commitments. Based on market mapping, there are several operators on the market that generally offer similar consulting services. However, the subject of the procurement is not an isolated consulting task, but the continuation of an ongoing project, which requires exceptionally broad project-specific expertise and knowledge. This expertise and knowledge are currently held by the supplier. Due to the scarcity of very expensive specialized cleanrooms and the advanced stage of the project, there are no reasonable alternative or substitute solutions for carrying out the service without significant additional work, costs, and the risk of project delays. The lack of competition is not due to an artificial restriction of the procurement conditions, but to the project's long preparation and implementation history, the project-specific knowledge capital formed therein, and the need to ensure the commercial, contractual, and technical continuity of the ongoing entity. Based on the foregoing, there is a basis for carrying out the procurement through direct procurement in accordance with Section 40, Paragraph 2, Item 2 of the Procurement Act.
