As part of its strategic expansion and implementation of programs in Lebanon, Pathfinder International intends to establish and register a legal presence in Lebanon as an International Non-Governmental Organization (INGO) Branch in accordance with Lebanese laws and regulations governing foreign non-profit organizations. To facilitate this process, Pathfinder seeks the services of a qualified Legal Counsel with extensive experience in NGO registration, corporate legal compliance, and engagement with Lebanese government authorities. The Legal Counsel will provide legal guidance and support throughout the registration process and ensure compliance with all applicable legal and regulatory requirements. As part of its strategic expansion and implementation of programs in Lebanon, Pathfinder International intends to establish and register a legal presence in Lebanon as an International Non-Governmental Organization (INGO) Branch (or other appropriate entity structure in accordance with Lebanese laws and regulations governing foreign non-profit organizations. To facilitate this process, Pathfinder seeks the services of a qualified Legal Counsel with extensive experience in NGO registration, corporate legal compliance, and engagement with Lebanese government authorities. The Legal Counsel will provide legal guidance and support throughout the registration process and ensure compliance with all applicable legal and regulatory requirements. Primary Objectives of the Consultancy The Legal Counsel will provide comprehensive legal services to support Pathfinder International in: Registering Pathfinder International as an INGO Branch in Lebanon. Securing all required governmental approvals, authorizations, and registrations. Advising Pathfinder on applicable legal, regulatory, labor, tax, and operational requirements. Supporting the establishment of a legally compliant operational framework for the organization in Lebanon. Ensuring compliance with all requirements imposed by Lebanese authorities for foreign NGOs. Scope of Work The Legal Counsel shall provide legal and advisory services, including, but not limited to, the following activities: Registration and Legal Establishment Review Lebanese laws, regulations, and administrative requirements governing the registration and operation of INGOs. Advise Pathfinder on the most appropriate legal registration structure. Develop a detailed registration roadmap with timelines, requirements, and responsible parties. Prepare, review, and finalize all legal documents required for registration. Identify and advise on any required translations, notarizations, authentications, and legalization procedures. Provide legal advice regarding employment and labor regulations, tax registration and compliance as INGO Coordinate with relevant authorities and governmental entities throughout the registration process. Submit registration applications and supporting documentation as authorized by Pathfinder. Serve as the primary legal liaison with relevant ministries and government agencies. Respond to legal inquiries and requests for additional documentation from authorities. Follow up with authorities to obtain approvals and registration certificates. Detailed Tasks The consultant is expected to undertake the following tasks: Phase 1: Legal Assessment and Registration Planning Review Pathfinder's legal documents and organizational structure. Conduct a legal assessment of registration requirements. Develop a registration action plan and timeline. Identify all required documentation and approvals. Phase 2: Documentation and Submission Prepare and/or review all registration documentation. Coordinate notarization, authentication, and legalization processes. Submit registration applications and supporting documents. Phase 3: Government Engagement Liaise with relevant ministries and government agencies. Address comments, requests, and clarification requirements from authorities. Facilitate approval processes until registration is completed. Required Skills, Qualifications & Experience Licensed attorney authorized to practice law in Lebanon. Demonstrated experience registering international NGOs, INGOs, or foreign entities in Lebanon. Strong knowledge of Lebanese NGO, labor, tax, and corporate regulatory frameworks. Proven experience engaging with Lebanese government ministries and regulatory authorities. Experience supporting international development organizations, UN agencies, or donor-funded projects is highly desirable. Excellent written and verbal communication skills in Arabic and English. Ability to manage complex regulatory processes and provide practical legal solutions. Guidelines and Instructions Please submit a technical proposal and a cost proposal. 1. Technical Proposal Your proposal should provide the following information: a. Law Firm and Attorney Profiles Provide a description of the law firm, its areas of expertise, and background of the attorneys who would be principally responsible for the engagement. b. Expertise and Experience Provide a track record of previous similar work undertaken, including any experience advising and supporting INGOs on registration in Lebanon. Provide any other information to demonstrate the law firm’s capability in relation to the scope of work, including its understanding of the local regulatory environment pertaining to NGO registration and engagement with relevant government authorities. c. Approach and Responsiveness Describe the firm’s approach to providing advice as set forth in the scope of work, including ability to provide practical, actionable advice that balances client’s strategic objectives and legal risk. Describe the level of service that the firm will provide, including how quickly attorneys will respond to phone calls and emails, and ability to handle the proposed project with time sensitivity. (Please also include an estimate of expected timeframe to complete registration process.) d. Other Describe any current or past relationships your firm may have with Pathfinder. Describe any potential conflict of interest and how this will be addressed. 2. Cost Proposal Your cost proposal should provide the estimated cost for the engagement, including a detailed cost breakdown. Please specify whether the firm charges a fixed fee or charges based on hour rates (include hourly rates, if applicable). Please include any government fees, clearly itemized. Evaluation Criteria In evaluating the proposals, Pathfinder will first evaluate the technical proposal, then evaluate the cost proposal for proposals that pass the technical proposal evaluation. Specifically, the selection committee will evaluate each proposal upon the following criteria: Criteria/Weight A. Bid Submission- Pass or Fail Was the bid submitted on time? Is the potential bidder eligible? Did they clear the CSI check? If there is a potential conflict of interest, is there a proposed mitigation plan? B. Professional knowledge and experience/ 70 Points Is the firm familiar with the relevant areas of law? What experience does the firm have in advising clients, especially other NGOs, on the kinds of matters described in the scope of work? C. Approach and Responsiveness/ 30 Points Does the firm demonstrate an ability to provide advice that achieves client objectives in a legally compliant manner and that takes into account both benefit and risk? Will the firm respond promptly to Pathfinder’s questions and requests and be able to deliver the project within the requested timeframe? Total Weight - 100 points If at any time prior to award Pathfinder deems there to be a need for a significant modification to the terms and conditions of this RFQ, Pathfinder will issue such a modification as a written RFQ amendment to all competing bidders. Pathfinder is not bound to accept the lowest or any proposal and reserves the right to accept any proposal in whole or in part and to reject any or all proposals. Pathfinder shall not be legally bound by any award notice issued for this RFQ until a contract is duly signed and executed with the winning Bidder. The evaluator will tally all the individual scores for each section and calculate the average score. The total average scores will be added to obtain the total points achieved by the individual supplier. If the total average score meets or exceeds 70 points, the supplier’s cost proposal will be eligible for consideration. The score for the cost proposal will be calculated in the following manner: Cost proposal score = 100 x Lowest cost/ cost of the proposal under consideration. The lowest cost proposal will receive the full 100 points. The total score will be calculated as follows: Total Score= Technical proposal score of the proposal under consideration multiplied by 0.75 plus (+) cost proposal score of the proposal under consideration multiplied by 0.25. Other Terms Pathfinder reserves the right to cancel this solicitation at any point and is under no obligation to issue a subcontract as a result of this solicitation. Pathfinder will not reimburse any expenses related to the preparation of any RFQ related materials or delivery.
