- The Government of the Republic of Angola (GoA) has received financing from the World Bank toward the cost of the Second Water Sector Institutional Development Project (WSIDP-2), and intends to apply part of the proceeds toward payments for the Cabinda PPP (as defined in Section II) only for, PHASE 1: MANAGEMENT CONTRACT FOR CAPACITY BUILDING, OPERATION AND MAINTENANCE OF CABINDA PROVINCIAL WATER AND SANITATION UTILITY (Empresa PĂșblica de Ăguas e Saneamento de Cabinda-EP - EPAS CABINDA). PHASE 2: AFFERMAGE CONTRACT FOR CAPACITY BUILDING, OPERATION AND MAINTENANCE OF CABINDA PROVINCIAL WATER AND SANITATION UTILITY (Empresa PĂșblica de Ăguas e Saneamento de Cabinda-EP - EPAS CABINDA will be subject to the terms stated in this Procurement Notice and Bid Document. For this contract regarding Phase 1, the Borrower shall process the payments using the Direct Payment disbursement method, as defined in the World Bankâs Disbursement Guidelines for Investment Project Financing.
- The procurement forms part of the implementation of the Cabinda PPP, which comprises: PHASE 1: MANAGEMENT CONTRACT FOR CAPACITY BUILDING, OPERATION AND MAINTENANCE OF CABINDA PROVINCIAL WATER AND SANITATION UTILITY AND PHASE 2: AFFERMAGE CONTRACT FOR CAPACITY BUILDING, OPERATION AND MAINTENANCE OF CABINDA PROVINCIAL WATER AND SANITATION UTILITY
- The Financial and Contract Management Unit (FCMU-WB/AFD) of the Ministry of Energy and Water (MINEA) now invites sealed Bids from Bidders for the following contract: PHASE 1: MANAGEMENT CONTRACT FOR CAPACITY BUILDING, OPERATION AND MAINTENANCE OF CABINDA PROVINCIAL WATER AND SANITATION UTILITY (Empresa PĂșblica de Ăguas e Saneamento de Cabinda-EP - EPAS CABINDA). The Services (as defined in Section II), to be provided under the Management Contract (as defined in Section II) will be for a period of 3 years and the Contractor (as defined in Section II) will ensure that EPAS Cabinda (as defined in Section II), is managed and operates as a financially independent and technically sustainable entity that is able to meet its service level obligations to Customers as defined under the law, regulations and agreements with the Government. PHASE 2: AFFERMAGE CONTRACT FOR CAPACITY BUILDING, OPERATION AND MAINTENANCE OF CABINDA PROVINCIAL WATER AND SANITATION UTILITY (Empresa PĂșblica de Ăguas e Saneamento de Cabinda-EP - EPAS CABINDA. On completion of the Services provided by the Contractor in PHASE 1, and upon meeting the prescribed conditions for the transition to proceed, the Services will transition to PHASE 2 where, within the legal framework of an Affermage Contract (as defined in Section II), for a period of 12 years, the Contractor will take over complete and exclusive administration, management and operational control, of the facilities of EPAS Cabinda in respect of its water services. In return, the Contractor will be remunerated for Services rendered under the Management Contract (PHASE 1) and Affermage Contract (PHASE 2) as per the payment terms stipulated in the Contracts.
- The procurement of the Cabinda PPP shall be conducted as a single procurement process Operation & Maintenance Services- Management and Affermage Contracts for capacity building, operation and maintenance of Cabinda Provincial Water and Sanitation Utility, covering both PHASE 1 (Management Contract) and PHASE 2 (Affermage Contract). Bidders shall, therefore, submit a single Bid covering both phases of the Cabinda PPP. The successful Bidder shall be awarded for the Contract regarding the PHASE 1 â MANAGEMENT CONTRACT. PHASE 2 â AFFERMAGE CONTRACT should be awarded only after successful completion of PHASE 1 and subject to the performance evaluation requirements. The two Contracts together constitute the complete contractual framework for the Cabinda PPP.
- Notwithstanding that Bidders are required to submit Technical and Financial Bids covering both phases of the Cabinda PPP, the present RFB shall result in the award and execution of the Phase 1 â Management Contract only. The Phase 2 â Affermage Contract is not being awarded or executed under this RFB. However, the draft Affermage Contract forms part of the Bidding Documents in order to enable Bidders to prepare comprehensive Technical and Financial Bids for the overall Cabinda PPP.
- Subject to:
(a) satisfactory performance by the Contractor under the Phase 1 Management Contract, including achievement of all Transitional Conditions;
(b) fulfilment of all Conditions Precedent set out in the applicable PPP legal and contractual framework;
(c) approvals required under the applicable Angolan legal framework (including the Public Contracts Law, the PublicâPrivate Partnership framework and the approval requirements of the Tribunal de Contas); and
(d) confirmation by the Employer that the requirements for transition have been fully satisfied,
the Government of Angola commits to awarding the Phase 2 â Affermage Contract to the same Contractor through a direct award upon completion of Phase 1. Accordingly Participation in this procurement constitutes acknowledgement by Bidders that:
- Phase 1 and Phase 2 form part of a single Cabinda PPP;
- the present RFB awards only the Phase 1 Management Contract; and
- award of the Phase 2 Affermage Contract remains conditional upon satisfaction of the contractual, legal and regulatory requirements governing the transition from Phase 1 to Phase 2.
- Bidding will be conducted through a single-stage two envelope Request for Bids (RFB) process in accordance with an international competitive procurement process as specified in the World Bankâs âRegulations for IPF Borrowersâ February 2025, Sixth Edition (âProcurement Regulationsâ) and is open to all eligible Bidders as defined in the Procurement Regulations.
- The procurement shall utilize Rated Criteria, a Technical Threshold, and a Most Advantageous Bid evaluation methodology as specified in the Bidding Document (as defined in Section II). The following weightings shall apply for Rated Criteria (including technical and non-price factors): 70 % and for Bid cost: 30%.
- Interested eligible Bidders may obtain further information from the Financial and Contract Management Unit (FCMU-WB/AFD) of the Ministry of Energy and Water (MINEA), Attention: Ms. Elsa Ramos, Project Director, E-mail: pdisa@pdisa.ao and inspect the Bidding Document during office hours Monday to Friday, 09:00 to 17:00 hours, Luanda Local time at the address given below.
- The Bidding Document in English may be obtained free of charge by prospective eligible Bidders, upon the submission of a written application to the address below. The Bidding Document will be sent by email in a non-editable format. If delivery by courier is requested, the cost shall be borne by the interested eligible Bidder.
- Bids must be delivered to the address below on or before 10:00 Angola Local Time September 8th, 2026. Electronic bidding will not be permitted. Late Bids will be rejected. The outer Bid envelopes marked âORIGINAL BIDâ, and the inner envelopes marked âTECHNICAL PROPOSALâ will be publicly opened in the presence of the Biddersâ designated representatives and anyone who chooses to attend, at the address below, at September 8th, 2026 at 10:00 Angola Local Time. All envelopes marked âFINANCIAL PROPOSALâ shall remain unopened and will be held in safe custody of the Employer until the second public Bid opening.
- All Bids must be accompanied by a Bid Security in the form of a on first demand, autonomous and unconditional Bank Guarantee in the amount and currency of one hundred fifty thousand US Dollar only (USD 150,000.00) or equivalent in local currency or any freely convertible currency.
- Attention is drawn to the Procurement Regulations requiring the Borrower to disclose information on the successful bidderâs beneficial ownership, as part of the Notification of Award, using the Beneficial Ownership Disclosure Form as included in the Bidding Document.
