Provision of advisory services of an economic and financial nature for Road Projects, including those implemented under PPP, in selected road corridors, namely: a) A1 motorway; b) A2 motorway; c) A4 motorway; d) other national roads indicated by the Contracting Authority.

The subject of the contract is the provision of advisory services of an economic and financial nature for Road Projects, including those implemented under PPP, in selected road corridors, namely: a) A1 motorway; b) A2 motorway; c) A4 motorway; d) other national roads indicated by the Contracting Authority for a period of 24 months from the date of contract conclusion. The Contractor's tasks will include: 1) ongoing support to the Contracting Authority in contractual relations with motorway concessionaires in corridors A1, A2 and A4; 2) support to GDDKiA in the process of taking over the A4 Katowice – Kraków motorway, in connection with the expiry of the concession agreement period; 3) preparation of all necessary analyses and studies required for the public party to take actions/decisions resulting from the adopted procedure with the concessionaire; 4) financial model analysis; 5) preparation of negotiation positions and participation in negotiations regarding amendments to concession agreements; 6) financial assessment of materials provided by the Contracting Authority and representatives of other entities indicated by the Contracting Authority, including in particular other public administration bodies and other external advisors of the Contracting Authority, with particular emphasis on the need to limit risks and threats to the Contracting Authority, 7) participation in the drafting or assessment of loan agreements, financial obligation security agreements, settlement agreements in case of invalidity of direct agreements between the State Treasury, companies and financing entities; 8) advisory services for the implementation of road investments indicated by the Contracting Authority, 9) preparation of written economic and financial opinions regarding the implementation of road projects; 10) advisory services in proceedings based on international agreements on the promotion and mutual protection of investments; 11) direct participation of indicated experts in court or arbitration proceedings as experts or witnesses; 12) analysis of economic, financial and social aspects of projects along with their generated capital flows; 13) financial analysis concerning potential loan refinancing; 14) analysis of State Treasury obligations at various stages of investment implementation; 15) other works, such as: a) conducting audits of financial flows and settlements between the company building and operating or only operating the road and other companies with which such a company has concluded agreements, b) advisory services in the field of financial and economic analyses, financial and material planning and programming, application of contractual and organizational solutions concerning the implementation of road investment projects in various financing systems. The Contracting Authority requires that the economic and financial services subject to the contract be provided at a quality level defined by the Contractor in the documents submitted with the offer entitled: 1) "Methodology for providing advisory services", 2) "Contractor's Personnel Substitutability" - which are the subject-matter evidence within the meaning of the Pzp Act.
