Tender for Framework Agreement for Turnkey Contracts for the Construction of Nursing Homes including outdoor, communal and/or service areas for Boligselskabet Sjælland

The purpose of this Framework Agreement is for the Turnkey Contractor to construct new nursing homes including outdoor, communal and/or service areas on a turnkey basis, including the possibility of constructing family housing, commercial rental units, day centers and/or health clinics adjacent to the nursing homes (hereinafter collectively referred to as "nursing homes including outdoor, communal and/or service areas"). The Framework Agreement is entered into with one turnkey contractor. The nursing homes are established as general elderly housing, which means that the nursing home is covered by the rules of the general housing law with BOSJ as a general housing organization. The nursing homes are to be built when BOSJ is allocated a plot from the Municipality or wins a tender process for the construction of nursing homes on a plot that the Municipality has put out for competition. The turnkey contractor shall therefore be responsible for both the design and execution of the nursing homes that BOSJ is to build under agreement with the Municipality. In addition, the turnkey contractor shall assist in submitting a competitive proposal in cases where BOSJ is to submit a bid to the Municipality. Once the plot is acquired, BOSJ takes over the role of client and operator of the new nursing home. BOSJ owns the nursing homes, but the outdoor, communal, and service areas will either be resold or leased to the Municipality. The Municipality has the right to allocate housing for the nursing homes. Furthermore, the Municipality may itself undertake the operational responsibility for the outdoor, communal, and service areas, depending on the specific project. The purpose of the framework agreement is to ensure a holistic and efficient implementation of the projects, creating continuity and the opportunity to reuse experiences across projects, while ensuring the best possible quality, time, and economy. It is expected that approximately three to four projects will be carried out under the framework agreement, but this depends on which projects are awarded by the Municipality or which projects BOSJ wins in a design competition. The projects may vary in scope and complexity, but all fall within the framework agreement's purpose of ensuring a well-coordinated and coherent execution of turnkey contracts for the construction of nursing homes within the general housing sector. The services covered by the framework agreement are described in more detail in Appendix 1. The projects are expected to have a contract sum of approximately DKK 200,000,000 – 250,000,000 excluding VAT. The framework agreement is concluded for a period of 2 years with the option of extension by 12 months twice. The expected procurement under the framework agreement over a period of 4 years amounts to DKK 800,000,000 excluding VAT, while the maximum procurement under the framework agreement is set at DKK 1,000,000,000 excluding VAT. The framework agreement includes the option to purchase outdoor, communal and/or service areas, including the construction of family housing, commercial rental units, day centers and/or health clinics adjacent to the nursing homes, depending on the specific project and the turnkey contract entered into under the framework agreement. This Framework Agreement and the turnkey contracts that follow place great emphasis on close and constructive cooperation between the turnkey contractor, the turnkey contractor's consultant, BOSJ, and the project organization. The turnkey contractor undertakes to engage in open, trusting, and constructive cooperation with BOSJ throughout the duration of the Framework Agreement. The turnkey contractor shall also cooperate loyally with the entire Project Organization and shall tolerate the Municipality's and the Project Organization's participation and involvement in the individual turnkey contracts. Some turnkey contracts will require political approval along the way. All turnkey contracts are carried out on an open-book basis, cf. the Framework Agreement with appendices. The detailed scope of the project is set out in the Framework Agreement with appendices. The turnkey contract is based on ABT 18 and the Performance Description for Construction and Landscape (YBL 18) and defines the Turnkey Contractor's rights and obligations in relation to the Project.
