Granting of a long-term loan in the amount of up to PLN 18,000,000.00

1. Name of the subject of the order: Granting of a long-term loan in the amount of up to PLN 18,000,000.00. 2. The subject of the order includes granting the Municipality of Oborniki a long-term loan in the amount of up to PLN 18,000,000.00 for the purpose of financing the planned budget deficit of the Municipality of Oborniki in 2026 and for the repayment of liabilities incurred in previous years. 3. The loan will be granted under the following conditions: 1) Loan currency: Polish Zloty (PLN). 2) The Ordering Party reserves the right not to utilize part of the loan amount without incurring additional fees, commissions, or other costs, up to PLN 6,000,000.00. The minimum utilized loan amount will be PLN 12,000,000.00. 3) The loan will be disbursed in tranches, in amounts and at times specified by the Ordering Party, based on written disbursement orders sent to the Contractor via e-mail to the address indicated by the Contractor. Disbursement of each tranche will occur no later than 3 business days from the date the Contractor receives a correct disbursement order. 4) In case of non-disbursement of loan funds by the Contractor within the period specified in point 3, the Ordering Party has the right to claim damages on general terms. 5) Loan period: from the date of concluding the loan agreement until November 30, 2034. 6) Loan funds will be made available to the Ordering Party no earlier than the date of concluding the loan agreement and no later than 5 business days from the date of concluding the agreement, with the reservation that the loan disbursement will occur no later than December 30, 2026. 7) Final loan utilization deadline: December 30, 2026. 8) Grace period for principal repayment applies from the date of loan disbursement until March 31, 2032. The first principal installment is due for repayment on March 31, 2032. 9) The Ordering Party does not foresee the Contractor charging a commission for granting and disbursing the loan, nor any other commissions or fees related to the conclusion, disbursement, and servicing of the loan, including fees for the unused portion of the loan and fees for early repayment of the loan. 10) The Ordering Party has the right to early repayment of the entire loan or part thereof, without incurring any commissions, fees, or other costs. 11) In case of early repayment of the entire loan or part thereof, interest will be calculated only up to the day preceding the date of early repayment, on the actually utilized loan amount. 12) The Ordering Party reserves the right to change the repayment dates of individual principal installments throughout the term of the agreement, without incurring additional fees or commissions, with the reservation that changes to the repayment schedule require agreement with the Contractor and will be made in the form provided for in the loan agreement. The promissory note will not be countersigned by the Municipal Treasurer. The loan agreement and the promissory note declaration will be countersigned by the Municipal Treasurer, in accordance with applicable regulations.
