SUBJECT OF THE PROCUREMENT The subject of this framework arrangement is the procurement and open supply of electricity and the provision of related services described below to customers, as further defined in Annex 1 "Subject of the Procurement" of the request for proposals. Services related to the procurement and open supply of electricity, included in the supplier's service margin: - Physical delivery of electricity (open spot) incl. management of the electronic point of consumption list - Spot order forecasting service (supplier invoices grid electricity costs to customers based on actual consumption) - Services related to the takeover of the framework agreement - Electricity consumption monitoring and maintenance of point of consumption data and related reporting - Billing of electrical energy - Customer service - Organization of an annual electricity market seminar. Other separately ordered additional services, charged to a small extent, related to the procurement and open supply of electricity: - Transmission of consumption data, i.e., assistance with automatic transfer of measurement data for customer points of consumption - Billing and invoice distribution service per sub-meter - Small-scale production exceeding the base consumption of the point of consumption and demand response - Enabling customer participation in reserve and balancing electricity markets - Procurement service for origin guarantees. The subject of the procurement is described in more detail in the request for proposals and its annexes. CONTRACT PERIOD The aim is for the framework agreement to enter into force in January 2026. The takeover of approximately 10,500 customer points of consumption requires the transfer of point of consumption data to the supplier at the beginning of the framework agreement period (duration approx. 2-4 months depending on the entry into force of the framework agreement), before physical electricity deliveries can commence to customers. Physical electricity deliveries to customers will begin no earlier than 01.05.2026. The contract period would then end on 30.04.2030. Due to the measures required for the takeover of points of consumption, the framework arrangement's contract period will exceptionally exceed four (4) years. Individual electricity sales contracts, solar electricity sales contracts, and procurement contracts are valid indefinitely, but for a maximum of three (3) months after the expiry of the framework agreement, and in any case until a possible new electricity procurement framework agreement procured by Hansel comes into force and the supplier selected in the new framework agreement has taken over the customer's points of consumption for sale (see clause 6.2 of the framework agreement in Annex B to the request for proposals). SCOPE OF THE FRAMEWORK ARRANGEMENT The estimated total value of the framework arrangement, excluding value added tax (VAT 0%), for the contract period is EUR 180,000,000 - 450,000,000. The maximum value of the framework arrangement is EUR 450,000,000 (VAT 0%). The forecasted volume of electricity energy for the entire contract period is 4,000,000 - 5,500,000 MWh. The figures are based on information provided by participating customers regarding the use of the framework arrangement and available customer consumption data. Annual fluctuations in actual consumption due to weather conditions cause minor uncertainty, and market price fluctuations cause significant uncertainty in estimating the total value of the procurement. The customer consumption profile is presented in Annex E "Consumption Profile" of the request for proposals. The framework arrangement falls under the scope of the Government Decree (765/2006) on joint procurements of state administration and the Ministry of Finance Decision (766/2006) on joint procurements of state administration. According to the regulations, state budget agencies and institutions are generally required to use centrally procured contracts. FSA REGULATION EU Regulation (EU) 2022/2560 on foreign subsidies distorting the internal market applies to this procurement. The tenderer must carefully review the FSA guidelines for tenderers attached as Annex C and include in their offer a declaration or statement prepared by the tenderer in accordance with the requirements of Annex C.1 "FS-PP".
