Selection of Financial Partners for the Implementation of the Financial Instrument Loan for SME Investments II under the Łódzkie Voivodeship Trust Fund, part III

1. The subject of the order is services commissioned by BGK consisting in the implementation and management of a Financial Instrument financing investments carried out in the Łódzkie Voivodeship, namely: Loan for SME Investments II; (hereinafter referred to as: Individual Loan / Loan). Details regarding the types of projects that can be financed are included in the Financial Instrument Matrix (hereinafter referred to as: Matrix), which is an attachment to the Draft Provisions of the Operational Agreement (hereinafter referred to as: PPU). 2. BGK has been entrusted with the role of the implementing entity of the Trust Fund, within which the aforementioned Financial Instrument is planned. BGK's operations are based on the Financing Agreement concluded between BGK and the Łódzkie Voivodeship – represented by the Entrepreneur's Service Centre based in Łódź, acting as the Intermediate Institution of the European Funds for Łódzkie 2021-2027 programme. 3. In order to carry out the order, BGK will contribute from the Trust Fund to the Special Fund established by the Contractor, a financial contribution from the resources of the European Funds for Łódzkie 2021-2027 programme and funds constituting national co-financing. Detailed rules for transferring the financial contribution from the Trust Fund in tranches are specified in the PPU. 4. The entity selected as the Contractor will act as the implementing entity of the Special Fund (hereinafter referred to as: Financial Partner, FP), referred to in Article 2(21) of Regulation (EU) 2021/1060 of the European Parliament and of the Council of 24 June 2021. 5. The order is financed from the resources of the Regional Programme entitled European Funds for Łódzkie 2021-2027 and funds constituting national co-financing, in accordance with the Financing Agreement for the project entitled Financial instruments for the development of the Łódzkie Voivodeship under FEŁ2027 1) No. FELD.01.06-IP.02-0001/23-00 for the Action entitled Investments in SMEs – IF, 2) No. FELD.02.03-IP.02-0001/23-00 for the Action entitled Energy Efficiency – IF, 3) No. FELD.02.07-IP.02-0001/23-00 for the Action entitled Renewable Energy Sources – IF, 4) No. FELD.02.14-IP.02-0001/23-00 for the Action entitled Circular Economy – IF, 5) No. FELD.06.05-IP.02-0001/23-00 for the Action entitled Culture and Tourism – IF, concluded on 18.10.2023 between the Łódzkie Voivodeship (represented by the Entrepreneur's Service Centre, which is the Intermediate Institution under FEŁ2027) and Bank Gospodarstwa Krajowego, which acts as the "Trust Fund" within the meaning of Article 2(20) of Regulation (EU) 2021/1060 of the European Parliament and of the Council of 24 June 2021. Project identification number: FELD.01.06-IP.02-0001/23-00. 6. The credit risk associated with the lending activity is borne by the Contractor, taking into account the conditions described in the PPU. 7. The detailed scope of the Contractor's tasks is specified in the PPU (Annex No. 2 to the SWZ). 8. The financial contribution from the Trust Fund (without the Option Right) assigned to each of the five parts constitutes a separate part of the order, i.e.: Part III – includes the provision of services consisting in the implementation and management of the Financial Instrument Loan for SME Investments II and the granting, disbursement and settlement of at least 24 Individual Loans, including 4 Individual Loans up to PLN 100,000.00 which will contribute to supporting at least 24 entrepreneurs, with parameters specified in the "Financial Instrument Matrix Loan for SME Investments II" from the financial contribution of the Trust Fund paid by the Ordering Party to the Special Fund in the total amount of PLN 20,000,000.00, supplemented by the Contractor's own contribution of 5% of the Financial Instrument's capital. The Contractor is obliged to disburse at least 40% of the Loan Limit before the expiry of half of the Portfolio Construction Period, in accordance with the rules and conditions for granting Individual Loans specified in the PPU.
