Purchase and delivery on operating lease of 2 tractor sets with additional equipment for winter road maintenance (plows, sand spreaders) and green belt maintenance (flail mowers), brand new 2026, for the needs of RPZiUK Sp. z o.o. in Kielce

2. The Contractor shall provide: 1) on the day of delivery, free of charge training for future users on the operation and maintenance of the delivered tractors. Additionally, the Contractor shall train 2 mechanics in the general construction and repair of tractors and in detail on technical maintenance, so-called OT-2. The Ordering Party requires that in the last year before the warranty expires, the Contractor, during the performance of inspections, shall individually train mechanics in maintenance procedures and consumables used. 2) guarantees that the tractors subject to the order are free from design, material, manufacturing, and legal defects. 3) On the day of acceptance of the subject of the order, the Contractor shall provide the Ordering Party with documents specifying the servicing conditions, operating manuals, technical inspection, and CE conformity certificates. 3. Financing conditions: 1) The purchase of tractors will be financed by the Contractor, also referred to as the Financier. 2) Lease agreement currency – PLN. 3) Operating lease period – 47 months. 4) Number of installments – 47 equal monthly installments. Lease installments are equal throughout the term, calculated using a fixed interest rate. Installments are divided into principal and interest components. Equal monthly installments, payable by the 25th day of each month. The last installment may be a balancing installment (it may be increased or decreased by the differences resulting from the rounding of all other installments). 5) Handling fee: 0%. 6) Down payment of 10% of the net value of the leased asset + VAT, payable within 14 days of the lease agreement signing date. The down payment is not a lease installment. 7) The lease installment should include costs related to the execution of the lease agreement, i.e., commissions, all transport costs to the destination, employee training, etc. – in the principal part. 8) After the lease agreement expires, upon payment of the last lease installment, the Ordering Party shall purchase the leased asset within 30 days for a price equal to its residual value (6% net + VAT). The Ordering Party shall pay the purchase fee based on a proforma invoice. 9) In the first and subsequent years, the Ordering Party reserves the right to insure the leased asset, third-party liability/comprehensive/personal accident insurance, at its own expense, for which no fee may be charged. 10) The cost of registration and the cost of transport means tax are not part of the offer price. 11) The Ordering Party shall bear the costs of periodic mandatory technical inspections. 12) For additional activities and services, the Financier may attach a Fee and Commission Table to the agreement. 13) The Ordering Party does not allow for contract security in the form of a blank promissory note. 4. If the Contractor finds that national, European, or international standards used in the SWZ and its attachments may indicate manufacturers of products or their sources of origin, the Ordering Party permits equivalent solutions in this regard. This means that the main technical parameters that are significant for achieving the purpose of such indicated products define the minimum expectations required by the Ordering Party regarding the quality of products to be used for the performance of the contract. Furthermore, in every case where the description or characteristic of the described product may indicate the source of origin or manufacturer, the Contractor is also entitled to use equivalent products, understood as those having technical parameters no worse than those indicated in the SWZ and/or its attachments. Equivalent standards in relation to those indicated in the OPZ or generally applicable are also permitted. The burden of demonstrating "equivalence" lies with the Contractor. When selecting equivalent materials, devices, and equipment, the Contractor is obliged to ensure that the indicators specified in the OPZ are also achieved, and to ensure comparability of offers, equivalent products must be at a comparable price to the indicated product. 5.
