The subject of the order is the expansion of the Ordering Party's existing ERP system, including license delivery and consulting/implementation support. The execution of the order will be divided into two stages: Stage I – License Delivery Includes the delivery of licenses in accordance with the requirements specified below. Stage II – Provision of Consulting and Implementation Support Includes the provision of consulting and implementation services resulting from the number of man-hours specified in the Description of the Subject of the Order. The detailed breakdown of man-hours among individual functional areas will be determined based on a pre-implementation analysis conducted after the order execution begins. A detailed description of the subject of the order is included in the file Request for Quotation 09/2026. Supplementary orders: - Conditions for amending the agreement: The Ordering Party anticipates the possibility of introducing significant changes to the provisions of the concluded agreement with the selected Contractor in relation to the content of the offer, on the basis of which the Contractor was selected. Changes will be permissible, particularly concerning: - changes to any regulations, provisions, and other documents, including program documents for Priority: "European Funds for Research and Development and Entrepreneurship", Action: "SME Development in Digitization and Industry 4.0.", affecting the performance of the agreement; - changes to the contractual execution deadline due to the occurrence of circumstances that could not have been foreseen at the time of concluding the agreement; - changes to the contractual execution deadline due to force majeure, directly impacting the timeliness of the subject of the order – by a maximum of the duration of its occurrence; - changes to the contractual execution deadline as a result of actions by administrative bodies, particularly refusal or delay in issuing required decisions, permits, or approvals by administrative bodies or other entities, for reasons not attributable to the contractor; - changes to the deadline and payment terms; - organizational changes involving changes in persons, subcontractors, contractor groups, and other entities cooperating in the execution of the order, provided that their qualifications, economic potential, execution capacity, and experience are not inferior to those of the replaced entities. Such changes may occur for organizational reasons, provided that the persons, subcontractors, contractor groups, and other entities meet all the requirements arising from the request for quotation and the submitted offer; - changes in remuneration; - additional – supplementary orders are permissible. Changes to the agreement should be consistent with the current document "Guidelines on eligibility of expenditure for 2021-2027" (https://www.funduszeeuropejskie.gov.pl/strony/o-funduszach/dokumenty/wytyczne-dotyczace-kwalifikowalnosci-2021-2027). Any changes and additions to the agreement concluded with the selected Contractor must be made in the form of written annexes to the agreement signed by both parties, under penalty of nullity.
