TECHNICAL ASSISTANCE TO EDM AND ARENE FOR THE DEVELOPMENT OF RENEWABLE ENERGY PROJECTS

SELECTION OF CONSULTANTS BY BENEFICIARIES OF FINANCING FROM THE FRENCH DEVELOPMENT AGENCY (AFD) WITH EUROPEAN UNION (EU) DELEGATED FUNDS – PROLER PROGRAMME REQUEST FOR EXPRESSIONS OF INTEREST MOZAMBIQUE TECHNICAL ASSISTANCE TO EDM AND ARENE FOR THE DEVELOPMENT OF RENEWABLE ENERGY PROJECTS CONSULTING SERVICES Expressions of Interest 1. Electricidade de Moçambique, E.P (“EDM”) has received a financing from Agence Française de Développement ("AFD"), delegated by European Union (“EU”), toward the cost of the Promotion of Renewable Energy Auction Programme (PROLER). These funds are intended for the preparation of a programme of wind and solar photovoltaic (“PV”) projects to be developed through an Independent Power Producer (“IPP”) approach and intends to use part of the funds thereof for payments under the following project of Technical Assistance to EDM for Development of Renewable Energy Projects (solar and wind) through a competitive process in order to attract private investors and to develop renewable energy projects at the lower costs. 2. The Main objective of PROLER is to design technical, financial and legal frameworks for lauching renewable energy projects (solar and wind) through competitive processes and to develop the capacities of the public entities involved in the energy sector (MIREME, ARENE and EDM) so that the Government of Mozambique will be fully able to manage the procurement of RE projects at the end of PROLER. 3. The Services of the consultant shall consist of a three (3) years Technical Assistance (TA) based in EDM and ARENE in full time and/or part time that will essentially in charge of supporting EDM for the technical, environmental & social, economic and financial aspects) and ARENE (for the procuring and tender aspects) in the implementation of the 3 projects PROLER program, solar photovoltaic power plants in Dondo (Sofala province), Manje (Tete Province) and in Chimbunila (Niassa Province), of 40MWp each, interconnected to the grid and developed under an IPP scheme. 4. Electricity of Mozambique, E.P “EDM” hereby invites Applicants to show their interest in delivering the Services described above. 5. This Request for Expressions of Interest is open to: Consulting Firms 6. Eligibility criteria to AFD financing are specified in sub-clause 1.3 of the "Procurement Guidelines for AFD Financed Contracts in Foreign Countries", available online on AFD’s website: http://www.afd.fr. 7. The Applicant shall submit only one application, either in its own name or as a member of a Joint Venture (JV). If an Applicant (including any of the JV members) submits or participates in more than one application, those applications shall be all rejected. However, the same Subconsultant may participate in several applications. 8. If the Applicant is a JV, the expression of interest shall include:  a copy of the JV Agreement entered into by all members, or  a letter of intent to execute a JV Agreement, signed by all members together with a copy of the Agreement proposal, In the absence of this document, the other members will be considered as Subconsultants. 9. Experiences and qualifications of Subconsultants are not taken into account in the evaluation of the applications. 10. Interested Applicants must provide information evidencing that they are qualified and experienced to perform those Services. For that purpose, documented evidence of recent and similar services shall be submitted. A maximum of 15 past experiences shall be presented by Applicants. 11. Determination of the similarity of the experiences will be based on their respective relevance relative to the services to be performed, as described above. 12. In particular, it is expected that Applicants present past experience for contracts whose characteristics are similar to one or more of the following criteria, where applicable, for contracts completed within the last eight (8) years :  At least 3 relevant assignments completed or substantially completed in relation to utility-scale renewable-energy projects developed under an IPP or PPP structure (OR) At least three relevant assignments completed or substantially completed, including at least one consulting assignment with a contract value of EUR 250,000 or more  At least 1 assignment involving the preparation and/or implementation of an international competitive procurement process, including preparation of prequalification or Request for Proposal documents, evaluation of applications or proposals, selection of a preferred bidder and/or support during negotiations  At least 2 assignments involving the technical, legal and financial structuring of an IPP project, including the preparation or negotiation of key project agreements such as a Power Purchase Agreement, concession or implementation agreement, connection agreement, shareholders’ agreement or guarantee arrangements  At least 1 assignment continued through contract award, preferred-bidder negotiations and/or financial close  At least
