Aninver Development Partners SL is seeking an expert Team Leader / Governance Expert for an upcoming consultancy assignment in the governance and institutional development sector. Working with the East African Development Bank (EADB), this initiative involves a comprehensive, independent, and forward-looking review of governance processes and systems to confirm fitness for mandate, strengthen accountability, and enhance development impact across member countries in East Africa.

The successful candidate will lead a multidisciplinary team of experts to assess existing governance frameworks, benchmark practices against regional and multilateral peers, and deliver a prioritized, implementable roadmap. The assignment emphasizes evaluating board effectiveness, legal and policy architecture, the board-management interface, risk oversight, and overall institutional agility to support sustainable socio-economic development.

Aninver is preparing a proposal for this assignment. The selected expert will be part of the proposed team; the engagement is conditional on the contract being awarded to Aninver. The full Terms of Reference for the position are shared with shortlisted candidates.

Objectives of the assignment

• Assess alignment of governance arrangements with the EADB Charter, applicable instruments, policies, and delegated authorities.
• Evaluate the effectiveness of the Governing Council, Board, committees, Management, and assurance functions.
• Benchmark EADB against comparable regional and multilateral development banks and recognized governance principles.
• Provide a prioritized, implementable roadmap that strengthens effectiveness, accountability, integrity, transparency, and development impact.

Scope of work

• Review legal, constitutional, and policy architecture, including charters, by-laws, and the hierarchy of governance instruments.
• Assess board effectiveness, composition, skills mix, diversity, succession, and director development programs.
• Map decision rights, reserved matters, and escalation thresholds across the Governing Council, Board, committees, and Management.
• Evaluate oversight of strategy, risk, capital, financial sustainability, operations, ESG, and development effectiveness.
• Review integrity, ethics, conflicts of interest, whistleblowing, investigations, and sanctions frameworks.
• Assess governance culture, information flows, board technology, cybersecurity, and records management.
• Conduct stakeholder interviews, process walkthroughs, meeting observations, and co-design workshops to validate findings and build consensus.

Your role as Team Leader / Governance Expert

• Provide overall technical and managerial leadership for the governance review assignment.
• Facilitate credible, high-level Board and stakeholder engagements, interviews, and validation workshops.
• Direct the diagnostic assessment of governance processes, systems, decision rights, and institutional culture.
• Oversee the benchmarking of EADB governance against relevant peer institutions and international standards.
• Guide the identification of operational bottlenecks, approval inefficiencies, and structural overlaps.
• Lead the formulation of practical, evidence-based recommendations and a prioritized implementation roadmap.
• Ensure high-quality, timely delivery of all project outputs and reports to the client.

Requirements

• Education: Advanced degree or equivalent professional qualification
• At least 15 years' relevant experience
• Leadership of comparable reviews
• Credible Board-level facilitation

Desirable

• Experience working within the East Africa region or with regional development institutions.
• Familiarity with digital transformation, ESG integration, and risk governance in financial institutions.

An experienced governance leader with extensive expertise in directing institutional reviews for development banks, possessing exceptional board-level facilitation skills and a deep understanding of multilateral governance structures.
