Warunki zmiany umowy: 1. Zakazuje się istotnych zmian postanowień zawartej Umowy w stosunku do treści oferty, na podstawie której dokonano wyboru Wykonawcy, z zastrzeżeniem zawartym w ust. 2 niniejszego paragrafu. 2. Zamawiający przewiduje możliwość dokonania zmian postanowień zawartej Umowy w stosunku do treści oferty, na podstawie której dokonano wyboru Wykonawcy w przypadku: a) wstrzymania lub zakończenia produkcji danego asortymentu przedmiotu zamówienia. Wykonawca może w przypadku zaistnienia ww. okoliczności zaproponować Zamawiającemu równoważnik produktu będącego przedmiotem Umowy (o parametrach nie gorszych od pierwotnie zaproponowanego produktu) jednak w cenie jednostkowej brutto nie przekraczającej ceny zamienianego produktu. Cena równoważnika może być niższa niż produktu oferowanego w postępowaniu o udzielenie zamówienia. Na Wykonawcy spoczywa obowiązek pisemnego poinformowania Zamawiającego o konieczności zamiany oraz dostarczenie pisemnego potwierdzenia dystrybutora lub producenta o wycofaniu zamienianego produktu z rynku. Zamawiający nie jest zobowiązany do kupna zaproponowanego równoważnika. b) zmiany danych Wykonawcy (siedziba, adres, nazwa, nr konta) bez zmiany Wykonawcy. c) wystąpienia zdarzeń losowych mających charakter siły wyższej, które uzasadniają wprowadzenie zmian do Umowy. Wszelkie zmiany do niniejszej Umowy wymagają formy pisemnej pod rygorem nieważności
